1. Acceptance of Terms

By creating an account, accessing, or using ezehr+ ("the Service"), you ("Customer", "You", "User") agree to be bound by this End User License Agreement ("EULA", "Agreement"). If you do not agree to these terms, do not use the Service.

This Agreement is between you and MeMu Healthcare Solutions ("we", "us", "our", "Company"), the provider of ezehr+.

2. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use ezehr+ for your healthcare practice or organization
• Store and manage patient data within the system
• Create and export medical records in supported formats
• Use our API (if included in your plan) for integration purposes

3. Restrictions

You agree NOT to:

• Reverse engineer, decompile, or disassemble the software
• Remove, alter, or obscure any proprietary notices
• Resell, lease, or redistribute the Service
• Use the Service for any illegal or unauthorized purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Exceed usage limits defined in your subscription plan

4. Data Privacy & HIPAA Compliance

4.1 Business Associate Agreement (BAA)

Upon request, we will enter into a Business Associate Agreement (BAA) with covered entities as required by HIPAA. The BAA is available for Professional and Enterprise plans.

4.2 Data Security

• Encryption: All data is encrypted in transit (TLS 1.3) and at rest (AES-256)
• Access Controls: Role-based access control (RBAC) with audit logging
• Backups: Daily automated backups with 30-day retention
• Infrastructure: Hosted on SOC 2 Type II certified data centers

4.3 Data Ownership

You own your data. All patient records, medical data, and content you upload remain your property. We claim no ownership rights over your data.

4.4 Data Portability

You can export your data at any time in the following formats:

• JSON (full data export)
• FHIR R4 (HL7 standard)
• C-CDA XML (clinical document architecture)
• PDF (printable reports)

5. Service Availability & SLA

5.1 Uptime Commitment

• Starter Plan: No SLA guarantee (best effort)
• Professional Plan: 99.5% monthly uptime
• Enterprise Plan: 99.9% monthly uptime with SLA credits

5.2 Scheduled Maintenance

We perform scheduled maintenance during off-peak hours (typically 2:00-4:00 AM UTC-3). We will notify you 72 hours in advance of any planned downtime.

5.3 Support

• Starter: Email support (48-hour response time)
• Professional: Priority email support (24-hour response time)
• Enterprise: Dedicated support with phone/video assistance (4-hour response time)

6. Payment Terms

6.1 Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle.

6.2 Free Trial

New customers receive a 14-day free trial with full access to features. No credit card required during trial. After trial expiration, you must subscribe to continue using the Service.

6.3 Price Changes

We reserve the right to change subscription prices with 30 days' notice. Price changes do not affect current subscription periods.

6.4 Taxes

All fees are exclusive of applicable taxes (VAT, sales tax, etc.). You are responsible for paying all applicable taxes.

6.5 Late Payments

If payment fails, we will retry charging your payment method. After 3 failed attempts, your account may be suspended until payment is received.

7. Cancellation & Refunds

7.1 Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. Your data remains accessible until the end of the paid period.

After cancellation, your data is retained for 30 days to allow reactivation. After 30 days, all data is permanently deleted and cannot be recovered.

8. Intellectual Property

The Service, including all software, design, text, graphics, logos, and trademarks, is owned by MeMu Healthcare Solutions and protected by copyright, trademark, and other intellectual property laws.

9. Warranties & Disclaimers

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected immediately
• The Service will meet your specific requirements
• Results obtained from the Service will be accurate or reliable

10. Limitation of Liability

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or data corruption
• Business interruption
• Loss of goodwill

11. Termination

11.1 Termination by You

You may terminate this Agreement at any time by canceling your subscription and ceasing to use the Service.

11.2 Termination by Us

We may suspend or terminate your account if you:

• Breach any terms of this Agreement
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Abuse the Service or our support team

12. Changes to Agreement

We may update this EULA from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new terms.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Uruguay, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts of Montevideo, Uruguay.
